The Customer shall be liable to VIO Shoppy for losses, expenses or damages and agrees to indemnify, defend and hold harmless VIO Shoppy and /or the Dealer harmless from any and all claims, losses, damages, liabilities, costs and expenses, including and without limitation legal fees and expenses arising out of or related to its use or misuse of VIO Shoppy Services, violation of these terms and conditions or any breach of any representations, warranties and covenants made by the Customer. The Customer shall indemnify VIO Shoppy against any fraud or any loss or damage suffered by VIO Shoppy due to the failure on the part of the Customer to communicate correct permanent or communication address and/or failure on the part of the Customer to communicate any change/alteration in the said permanent or communication address.
The Transaction and the Transaction limits for the operation of VIO Shoppy Account of the Customer shall be set at the sole discretion of VIO Shoppy in accordance with the Applicable Law as amended from time to time. Such set Transactions and Transaction limits shall be communicated to the Customer by posting on the Website (www.vioshoppy.com
Usage and operation of the VIO Shoppy Account including VIO Shoppy mobile App is subject to payment of service charges prescribed by VIO Shoppy on the Website (www.vioshoppy.com from time to time. Charges shall be exclusive of applicable taxes, duties, cess etc. The Customer unconditionally and irrevocably authorizes VIO Shoppy to debit Customers VIO Shoppy Account from time to time with an equivalent fee and Charges applicable for the issue and use of the VIO Shoppy Account as published by VIO Shoppy.
The terms and conditions herein shall be subject to the Applicable Law. Further, VIO Shoppy may alter, modify or amend these terms and conditions from time to time and the same shall be updated and displayed by VIO Shoppy on its Website (www.vioshoppy.com. The Customer is expected to keep himself/herself updated with the amendments to the terms and conditions. Any transaction done subsequent to the amendment of the terms and conditions will be considered as Customer’s acceptance of the amended terms and conditions. VIO Shoppy may modify, terminate and/or suspend VIO Shoppy Services anytime with or without prior notice, due to any changes in internal policies or Applicable Law.
The Customer agrees that these terms and conditions are effective until terminated by VIO Shoppy and VIO Shoppy reserves the right to terminate these terms and conditions. VIO Shoppy may move, change, suspend or end any part of the Services provided by VIO Shoppy. VIO Shoppy reserves the right to terminate Customers membership and remove all the content in Customers account for reasons, including, but not limited to: violation of any governing policy or Applicable Law. You agree that any termination of your access to the Services or any account you may have or portion thereof may be effected without prior notice, and you agree that VIO Shoppy will not be liable to you or any third party for any such termination. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities.
VIO Shoppy provides only platform to meet the buyer and sellers, we are not manufacturer of any product. All the warranties and guaranty will be bear by the manufacturer of product. VIO Shoppy and its third-party partners, licensors, and suppliers disclaim all warranties, statutory, express or implied, including, but not limited to, implied warranties of Merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. We do not authorize anyone to make any warranty on our behalf and you should not rely on any such statement. In no event will VIO Shoppy be liable for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the site.
The Customer agrees that he/she shall have no claims/rights of whatsoever nature in the intellectual property rights arising out of and in connection with VIO Shoppy Account and Services thereto. The Customer further undertakes that he/she shall not attempt to modify, alter, obscure, translate, disassemble, decompile or reverse engineer the software underlying mobile application or create any derivative product based on the software. The Customer understands that the user interface, graphics, logos, design, compilation, information, products, services, software, and all other elements of the VIO Shoppy Services are protected by copyright, designs, patent and trademark laws and other intellectual property or proprietary rights of either VIO Shoppy or its related parties.
VIO Shoppy shall inform the Customer of the existence of a Force Majeure Event and take all reasonable steps to engage with the Customer towards finding an appropriate solution.
"Force Majeure Event" means any event due to any cause beyond the reasonable control of VIO Shoppy and/or its partner Bank, including, without limitation, unavailability of any communication system, breach or virus in the processes or payment mechanism, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, unauthorized access to computer data and storage device, computer crashes, breach of security and encryption etc. VIO Shoppy shall not be liable for any failure to perform any of its obligations under these terms and conditions if the performance is prevented, hindered or delayed by a Force Majeure Event and in such case its obligations shall be suspended for so long as the Force Majeure Event continues.
In case of death of the Customer, the legal heir shall be bound by the polices of VIO Shoppy. The legal heir shall submit necessary documents and information with the VIO Shoppy as requested by the VIO Shoppy for processing the legal heirs claim as per the policy of the VIO Shoppy.
VIO Shoppy may provide you with notices and communications by email, regular mail or postings on the Site or by any other reasonable means. Except as otherwise set forth herein, notice to VIO Shoppy must be sent by courier or registered mail to VIO Shoppy 01, Himalayan Marg, D-Block, Indira Nagar, Lucknow Uttar Pradesh, India.
This Agreement, and any rights granted hereunder, may not be transferred or assigned by you without our prior written consent which may be withheld in our sole discretion, but may be assigned by us without restriction. Any assignment attempted to be made in violation of this provision shall be void and of no effect.
Upon termination of this Agreement, any provision which, by its nature or express terms should survive, will survive such termination or expiration as applied to transfers and relationship prior to such termination or expiration.
The heading references herein are for convenience purposes only, do not constitute a part of these Terms and Conditions, and will not be deemed to limit or affect any of the provisions hereof.
This is the entire agreement between you and VIO Shoppy relating to the subject matter hereof and will not be modified except in writing, signed by both parties, or by a change to this Agreement made by VIO Shoppy in accordance with the terms of this Agreement.
These terms and conditions will be governed by and construed in accordance with the laws of the Republic of India without giving effect to any principles or conflicts of law. The courts in Lucknow shall have exclusive jurisdiction over any dispute arising from use of VIO Shoppy Services. The Customer expressly consents to the personal jurisdiction of said courts and waives any objection to such personal jurisdiction based on forums non convenience or any other basis.
This agreement by binding arbitration in accordance with the provisions of the Indian Arbitration & Conciliation Act, 1996. Any such dispute, controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Lucknow, India and judgment on the arbitration award may be entered in any court having jurisdiction thereof.
